Legal Stuff

KPI Works is a project run by PowerStats Limited, an Auckland-based benchmarking company.

All use of our platform is guided by our General Terms of Use and Privacy Policy, with the so-called Service Contract being used to define the commercial relationship between our client (e.g. your practice) and us. The page you are currently on (www.kpiworks.co.nz/sign-up-your-practice/legal-stuff, “Legal stuff” hereafter) and the page called “Sign up your practice” that you just came from (www.kpiworks.co.nz/sign-up-your-practice/, “Sign Up Your Practice Form” hereafter) are both referenced and are used to form this Service Contract between PowerStats Limited and your practice (“Your Practice” hereafter, as defined by you in the Sign Up Your Practice Form).

The Service Contract must feature a number of compulsory details, listed directly below:

Parties to this Service Contract:

PowerStats Limited (NZBN 9429041079874, phone 09-320-5144, www.kpiworks.co.nz, L4, BDO Centre, 4 Graham St, Auckland Central, New Zealand, support@kpiworks.co.nz, trading as “KPI Works”, “Us”, “We”, “Our”) and Your Practice (“You”, “Your”).

Date Entered Into:

After you submit the Sign Up Your Practice Form, a copy of the Service Contract will be emailed to the email address that you specified, with a request to confirm your entering into the Service Contract by forwarding the email-based Service Contract to partners@kpiworks.co.nz – the date of your forwarding this email to Us will become the Date Entered Into.

Commencement Date:

Same as the Date Entered Into.

Initial Term:

The Initial Term starts on Date Entered Into, and, ends at the end of the last calendar day of the month that the Date Entered Into falls into.

Renewal Term and Mechanism:

This Service Contract will automatically renew on the same terms for a further one calendar month (a Renewal Term), unless either Party gives at least 2 business days’ notice prior to expiry of the Initial Term (or any subsequent Renewal Term) that it wishes to prevent the automatic renewal of the current Service Contract. In case the Initial Term is 3 business days or shorter, automatic renewal of the Initial Term may be prevented by either Party prior to its expiry with immediate effect.

License Fees:

As specified in the Sign Up Your Practice Form.

Other Services:

Any additional services and/or customisations that may be requested by You from time to time in the future will be quoted at the time of request. We reserve the right to decline requests for additional services and/or customisations.

Specification of Service:

Unless otherwise specified by the License Fees section of the Sign Up Your Practice Form, the full technical capability of the KPI Works platform will be offered to You, and the Service will run on our subdomain https://nz.kpiworks.app

Specific Terms of Use:

None.

Your status:

For the purposes of defining your role in this Agreement, and related to the terminology used in our General Terms of Use:

• Your Practice will be a Service Contract Holder, and is an Agency.
• Your advisors and/or other personnel associated with Your Practice that are provided access to the Service (as authorised by You) are both Service Contract Holders, and End Users.
• Personnel not associated with Your Practice, but that have been provided access to the Service (as authorised by You, for example, your client’s key contact) are End Users.

Your additional obligations:

• You undertake to adhere to Our Privacy Policy for any contacts received via our Contact an advisor form
• You undertake to respond to any enquiries received via our Contact an advisor form within 3 business days.

This Agreement:

The Agreement between you and us will become active as per the Date Entered Into definition above, and will be exclusively made up of three documents: the Service Contract (as defined via the Sign Up Your Practice Form and Legal Stuff), our General Terms of Use (link) and our Privacy Policy (link).
